1. Introduction
These Terms & Conditions (“Terms”) form a legally binding agreement between Thikana Valley & Holdings Ltd. (“Company,” “we,” “our,” “us”) and any individual or entity (“User,” “you,” “your”) who accesses, browses, or uses our website, engages with our services, or participates in any property-related transaction with us.
By accessing our website, viewing property listings, making inquiries, or entering into an agreement with us, you acknowledge that you have read, understood, and agreed to these Terms, as well as the applicable laws of the People’s Republic of Bangladesh.
2. Nature of Services
2.1 The Company deals in the acquisition, development, marketing, and sale of land and real estate properties, including residential plots, commercial plots, high-rise apartments, and mixed-use developments.
2.2 All layouts, maps, images, and descriptions shown on our website or promotional materials are indicative and for reference only. They are not legal documents or binding offers unless specifically stated in a registered agreement.
2.3 The Company reserves the right to amend project plans, specifications, amenities, or timelines based on regulatory requirements, resource availability, or market conditions.
3. Eligibility
3.1 Individuals must be at least 18 years old and legally able to enter into contracts under the laws of Bangladesh to participate in property transactions with us.
3.2 Corporate clients must submit valid incorporation documents, board resolutions, and identification for authorized signatories before entering into agreements.
4. Property Booking & Reservation
4.1 Booking requires completing a booking form and paying the applicable booking amount stated in the relevant project brochure or agreement.
4.2 Bookings are confirmed only after payment clearance and document verification.
4.3 Failure to pay installments on time may result in booking cancellation and forfeiture of payments as per our cancellation policy.
4.4 Property prices may change without notice until a formal Sale Agreement is signed.
5. Payment Terms
5.1 All payments must be made in Bangladeshi Taka (BDT) via cheque, bank transfer, or other approved methods.
5.2 Foreign currency payments must comply with Bangladesh Bank foreign exchange regulations.
5.3 Late payments will incur interest charges as specified in the Sale Agreement.
6. Transfer of Ownership
6.1 Legal ownership will transfer only after full payment, fulfillment of all contractual obligations, and registration of the Sale Deed with the relevant government authority.
6.2 Buyers are responsible for paying all registration fees, stamp duties, taxes, VAT, and other statutory charges unless otherwise agreed in writing.
7. Information Accuracy & Disclaimer
7.1 While we aim for accuracy, we do not guarantee that property listings, maps, measurements, or descriptions are free of errors or omissions.
7.2 Buyers are encouraged to conduct independent legal, technical, and financial due diligence before purchasing.
8. Intellectual Property
8.1 All website content, brochures, advertisements, and marketing materials are the property of Thikana Valley & Holdings Ltd. and are protected by copyright and trademark laws.
8.2 No content may be reproduced, distributed, or transmitted without prior written consent.
9. Compliance with Laws
All transactions will comply with applicable real estate, land registration, taxation, and anti-money laundering laws of Bangladesh. We reserve the right to refuse or cancel any transaction that violates these laws.
10. Limitation of Liability
We are not liable for:
- Delays or failures caused by force majeure events such as natural disasters, political unrest, strikes, or regulatory changes.
- Losses or damages resulting from reliance on indicative plans or marketing materials.
11. Dispute Resolution
11.1 Any disputes shall first be addressed through mutual negotiation.
11.2 If unresolved, disputes will be settled through arbitration under the Arbitration Act of Bangladesh, conducted in Dhaka in English.
11.3 The arbitrator’s decision will be final and binding.
12. Amendments
We may revise these Terms at any time without prior notice. Updated Terms will be posted on our website, and continued use of our services implies acceptance.
13. Governing Law & Jurisdiction
These Terms are governed by the laws of Bangladesh, and courts in Dhaka shall have exclusive jurisdiction.
